Company Registration in Ghana

The Office of the Registrar of Companies administers registration under the Companies Act 2019 and Companies Regulations 2023. A private company limited by shares is generally used for a profit-making operating business. An external company is the Ghana registration of an overseas body corporate.

A company must have at least two directors, and at least one should be ordinarily resident in Ghana. It also requires a qualified company secretary and the applicable auditor arrangements. The incorporation materials identify the registered office, principal activity, stated capital, shares, shareholders, directors, secretary and beneficial owners. Director and secretary consents and statutory declarations form part of the current process. The ORC forms page provides the applicable filing packs.

The constitution should fit the commercial arrangement. For a wholly owned subsidiary, address parent reserved matters, director authority, share issues, distributions and group transfers. For a joint venture, use a shareholders’ agreement and aligned constitution covering funding, board composition, quorum, budgets, information rights, related-party dealings, deadlock, transfers, default and exit.

Beneficial ownership is not limited to the immediate shareholder. Trace through every holding entity to the natural persons who ultimately own or control the company. Ghana’s thresholds vary by sector and owner type, and control can arise through voting, appointment or influence. Use the current ORC form rather than a universal percentage assumption. After incorporation, maintain statutory registers, board and shareholder minutes, annual returns, financial statements, charge registrations and updates to directors, secretary, address, capital and BO information. Registry information should remain consistent with bank KYC, tax, GIPC and sector filings.
