Intellectual-property rights are territorial. A UK or other foreign trademark or design does not automatically protect the right in Nigeria. Core trademarks should be searched and filed early, preferably before a distributor is appointed or the brand is launched. Company names, trademarks, domain names and social-media handles require separate checks.

Ownership and registrations

The trademark portfolio should cover the marks, goods and services the business will actually use, including local variations. Ownership should sit with the intended group entity, and licences to the Nigerian operating company or distributor should be documented.

Copyright is governed by the Copyright Act 2022 and generally arises without registration. The business should nevertheless preserve evidence of authorship, creation, assignment and licence. Software, marketing content, designs, training materials and databases can involve multiple contributors, so employee and contractor terms should establish chain of title.

Patents and registered designs should be considered where technology or product appearance is commercially important. Filing should precede disclosure where novelty may be affected. Trade secrets require practical controls: limited access, confidentiality obligations, secure systems and disciplined exit procedures.

Commercialisation and enforcement

IP licences should address scope, territory, term, sublicensing, quality control, improvements, royalties, tax, withholding, audit, infringement, termination and transition. Technology-transfer and trademark arrangements may require NOTAP review where fees will be remitted offshore.

Distribution agreements should prevent the local distributor from registering the brand, domain or product approval in its own name without controlled transfer provisions. Monitor the market and preserve evidence of use, imports, sales and infringement. Online complaints, customs measures, regulator action and court proceedings may each be relevant to enforcement.
